Everything in
its place.

Corporate Services, Luxembourg

Company secretarial, general assemblies, statutory filings and ongoing administration for Luxembourg entities. The quiet, methodical work that keeps a company in good standing with the RCS, the RBE and the authorities, year after year, without surprises and without noise.

The work that keeps the file clean.

Our approach

A Luxembourg company lives by its statutory rhythm: an annual general assembly, the filing of accounts within the legal window, the constant maintenance of the share register, the RBE, the trade-and-companies register. Corporate Services is the work behind that rhythm, the bookkeeping of governance, not of the books themselves.

Our team prepares the calls and minutes for board and shareholder meetings, files extracts and updates with the RCS and the RBE, maintains the statutory book and assists directors in the everyday decisions a Luxembourg vehicle requires. One coordinator on every file, available in French and English, in dialogue with your auditors and counsel when needed.

What we do

Three rhythms, year after year.

Governance & statutory filings

Annual general assemblies, board meetings, drafting of resolutions, RCS filings, updates to the RBE and the maintenance of the statutory book. The administrative spine that keeps the company in good regulatory standing.

Director representation

Professional director services for SOPARFI and holding entities, independent, experienced and conversant with Luxembourg substance requirements. Discreet representation on the board, with full minutes and corporate-secretary support.

Day-to-day administration

KYC refreshes, share transfers, capital changes, name changes, dissolutions and the dozen small acts a living company generates each year. Filed cleanly, on time, by a single dedicated coordinator who knows your file.

Running smoothly beneath the surface.

The route

From onboarding to annual cycle.

Four stages, one dedicated coordinator. Every Corporate Services engagement begins with a careful audit of the statutory book and ends with a steady annual rhythm, the kind clients stop noticing precisely because it never fails.

First conversation

A free, confidential exchange to understand the entity, its shareholders and the state of its statutory book. A first read of where the file currently stands, and what may need to be brought up to date.

Route advisory

A short audit of the corporate book, RCS and RBE positions, with a written punch-list of any catch-up filings, drafting work or governance items to settle before the annual cycle begins.

Engagement

We bring the file up to current, take over the secretarial work, set the calendar for the year ahead and align with auditors, accountants and counsel. The coordinator becomes the single contact for governance.

Handover & beyond

From there the rhythm settles, annual general assembly, board meetings on agreed dates, filings prepared and lodged within the legal windows, statutory book kept current. Quiet, year after year.

Start the conversation

Whether you are bringing a long-standing statutory book up to current, onboarding a newly formed entity or simply tired of the noise around governance, we are here to listen first. A first exchange costs nothing and commits to nothing, except, perhaps, the beginning of a long road travelled together.
